Kimberly-Clark has completed its acquisition of Kenvue, bringing several well-known consumer healthcare and personal care brands, including Calpol, Nicorette and Listerine, into its wider portfolio.

The transaction combines Kimberly-Clark's consumer products business with Kenvue's consumer health portfolio, creating a larger global group spanning healthcare, hygiene and wellness.

The combined portfolio includes 10 billion-dollar global brands: Huggies, Listerine, Cottonelle, Neutrogena, Depend, Tylenol, Kleenex, Johnson's Baby, Kotex and Scott.

For the UK pharmacy sector, the acquisition brings together a broad range of products across everyday healthcare and self-care categories. Kenvue's UK portfolio includes familiar pharmacy brands such as Calpol, Benylin, Sudafed, Nicorette, Imodium, Daktarin, Regaine, Aveeno and Listerine.

The transaction follows the agreement announced in 2025 and marks the completion of a deal that Kimberly-Clark expects to strengthen its position in consumer health and wellness markets.

Mike Hsu, chairman and chief executive of Kimberly-Clark, described the completion as a defining moment in the company's 154-year history.

He said the combination would bring together consumer insight, scientific expertise, innovation and brand-building capabilities to address changing healthcare and personal care needs.

What does the acquisition mean for the combined brand portfolio?

The enlarged business will operate across categories including baby care, women's health, oral care, skincare, active ageing and everyday personal hygiene.

Kenvue's brands have a significant presence in consumer healthcare, including products used for pain relief, cold and allergy symptoms, digestive health, smoking cessation and skincare.

Kimberly-Clark's global portfolio also includes brands such as Huggies, Kleenex, Cottonelle and Scott. However, its international tissue operations, including the UK business behind Andrex, transferred into Arbex, its joint venture with Suzano, which began operating independently in July 2026.

The company said the combined portfolio serves consumers in more than 175 countries. It will operate through four business segments: North America; Asia Pacific Focus Markets; Europe, Middle East and Africa; and Enterprise Markets.

For the EMEA business, which includes the UK, Kimberly-Clark estimates annual sales of approximately $5bn.

The company has outlined three strategic priorities for the combined business: Better Care, More Hands and Smarter Health. These are intended to expand access to its products, address changing consumer needs and improve the way it delivers everyday healthcare and personal care.

How much could the Kenvue acquisition contribute to Kimberly-Clark?

Kimberly-Clark expects the combination to generate approximately $2.1bn in annual "run-rate synergies".

This includes around $1.9bn in cost synergies, which the company expects to capture within the first three years after completion, and approximately $500m in additional profit from revenue synergies within four years.

The projections also account for around $300m in reinvestment, according to the company's announcement.

Kimberly-Clark plans to use its existing commercial and brand-building capabilities to accelerate innovation, strengthen customer relationships and improve the performance of Kenvue's product portfolio.

The company has also put in place a new leadership structure to manage the enlarged business and oversee its integration.

Under the transaction terms, Kenvue shareholders received $3.50 in cash and 0.14625 shares of Kimberly-Clark common stock for each Kenvue share held. Kenvue shares ceased trading on the New York Stock Exchange when markets opened on 2 November.

The completion creates a significantly larger consumer health and personal care business. However, the companies have not yet detailed any immediate changes to UK pharmacy distribution arrangements, product ranges or supply agreements.
